Model answer
Strategic buyers can often pay more because they capture synergies (cost takeout, cross-sell, scale) that a financial sponsor cannot, and they may pursue scarce strategic assets. Sponsors are disciplined by their need to hit an IRR using leverage and an exit multiple, which caps what they can pay — though in cheap-financing, competitive environments sponsors can match or beat strategics. When building the set, bankers often tag each deal by buyer type and may segment the analysis, because a subject company likely to attract strategics should be benchmarked against strategic-led precedents, and vice versa.
