Model answer
The conglomerate discount is the tendency of diversified, multi-segment companies to trade below the sum-of-the-parts value of their businesses valued independently. Common causes
- capital allocation concerns - cash from strong segments may be reinvested in weak ones
- complexity and opacity - segment disclosure is limited, so analysts and investors struggle to underwrite each business
- no pure-play appeal - investors who want exposure to one segment must buy the whole mix, shrinking the natural buyer base
- unallocated corporate overhead and agency costs. Empirical estimates vary widely by study and period, so quote a discount range cautiously. The discount underpins activist break-up and spin-off theses.
